Please read these Terms and Conditions ("Terms") carefully before using hemostemix.com (the "Site") operated by Hemostemix Inc. ("Hemostemix," "we," "our," or "us").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Acceptance of terms

These Terms constitute a legally binding agreement between you and Hemostemix Inc. governing your use of the Site. We may update these Terms at any time. The "Last Updated" date above reflects the most recent revision. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.

We reserve the right to modify, suspend, or discontinue the Site or any part of it at any time without notice or liability.

2. Medical and clinical disclaimer

ACP-01 is an investigational autologous cell therapy that has not been approved by Health Canada, the U.S. Food and Drug Administration (FDA), or any other regulatory authority for commercial sale or general use. All references to ACP-01 on this Site relate to ongoing clinical research and investigational use only.

Nothing on this Site should be interpreted as:

• A guarantee or promise of therapeutic benefit
• A recommendation to pursue or discontinue any medical treatment
• A substitute for consultation with a qualified healthcare professional
• An indication that ACP-01 is safe or effective for any particular condition

7. SMS communications SMS terms

Program description

By providing your mobile phone number and opting in, you consent to receive SMS text messages from Hemostemix Inc. These messages may include information about clinical trial updates, patient education resources, webinar reminders, and general communications related to our programs and services.

How to opt in

You may opt in to receive SMS messages by submitting your mobile number through a form on the Site and checking the SMS consent box where provided. Opting in is voluntary and not a condition of using the Site or accessing any services.

How to opt out

You may opt out at any time by replying STOP to any SMS message you receive from us. After opting out, you will receive one final confirmation message and no further messages will be sent. You may also opt out by contacting us directly at the information provided in Section 14.

Message frequency

Message frequency varies. You may receive up to 8 messages per month depending on your engagement with our programs.

Message and data rates

Standard message and data rates may apply. These are charged by your mobile carrier and are not controlled by Hemostemix. Contact your carrier for details about your plan.

Supported carriers

SMS messaging is available through most major carriers. Hemostemix is not liable for delayed or undelivered messages.

Privacy of SMS data

SMS opt-in data and consent will not be shared with any third parties, excluding the aggregators and service providers required to deliver text message services. See our Privacy Policy for full details.

8. Clinical research and trial information

Information about clinical trials and research programs on this Site is provided for general informational purposes. Eligibility for clinical trials is determined by specific inclusion and exclusion criteria reviewed by qualified medical personnel.

Expressing interest in a clinical trial through this Site does not guarantee enrollment, eligibility, or participation. All clinical trial participation is subject to the applicable informed consent process and regulatory requirements.

Hemostemix does not warrant that the Site will be uninterrupted, timely, secure, or error-free. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

10. Limitation of liability

To the fullest extent permitted by applicable law, in no event will Hemostemix, its directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of or inability to use the Site.

This includes damages for loss of profits, goodwill, data, or other intangible losses, even if Hemostemix has been advised of the possibility of such damages. In jurisdictions that do not allow this limitation, our liability is limited to the maximum extent permitted by law.

13. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the courts located in Calgary, Alberta, Canada. You consent to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction over you by such courts.

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

14. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hemostemix Inc. with respect to your use of the Site and supersede all prior agreements, understandings, and communications relating to the same subject matter.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
